Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the Technique Ltd website and services. By engaging with Technique Ltd, you agree to these Terms.

1. About Technique Ltd

Technique Ltd is a design agency registered in Malta (Company Registration Number: C 103580).

Registered Office: 34 Triq Wied Ghomor, San Giljan, STJ 2043, Malta

2. Services

2.1 Scope of Services

Technique provides design leadership services across brand, product, and marketing design, specialising in Fintech and Healthtech sectors.

2.2 Retainer Model

All client engagements are retainer-based with a minimum commitment of 3 months. We do not accept one-off project work.

2.3 Service Delivery

Services are delivered by senior designers with 10+ years of experience. All work is conducted remotely unless otherwise agreed in writing.

3. Engagement Process

3.1 Initial Consultation

New client relationships begin with an introductory call to assess fit and requirements.

3.2 Proposal and Agreement

Following consultation, we provide a formal proposal outlining scope, timeline, and fees. Work commences upon signature of a Service Agreement.

3.3 Retainer Terms
  • Minimum engagement: 3 months

  • Monthly retainer fee as specified in Service Agreement

  • Payment terms: Net 14 days from invoice date

  • Retainers may be extended by mutual agreement

4. Intellectual Property

4.1 Client Ownership

Upon full payment, all intellectual property rights in deliverables created specifically for the client transfer to the client.

4.2 Pre-existing Materials

Technique retains ownership of any pre-existing materials, templates, or methodologies used in service delivery.

4.3 Portfolio Rights

Technique reserves the right to showcase work in portfolios and marketing materials unless otherwise agreed in writing.

5. Client Responsibilities

5.1 Information Provision

Clients must provide timely access to necessary information, materials, and stakeholders.

5.2 Feedback and Approvals

Clients must provide feedback within agreed timeframes to maintain project momentum.

5.3 Payment

Clients are responsible for payment of invoices within agreed terms.

6. Payment Terms

6.1 Invoicing

Retainer fees are invoiced monthly in advance.

6.2 Late Payment

Late payments may incur interest at 8% above the Bank of England base rate per annum.

6.3 Suspension of Services

Technique reserves the right to suspend services if payment is more than 14 days overdue.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement, except where disclosure is required by law.

8. Termination

8.1 Minimum Term

Either party may terminate the engagement after the minimum 3-month period with 30 days' written notice.

8.2 Immediate Termination

Either party may terminate immediately if the other party:

  • Materially breaches these Terms

  • Enters insolvency or administration

  • Engages in fraudulent or illegal activity

8.3 Payment on Termination

Client remains liable for payment for all work completed up to the termination date.

9. Limitation of Liability

9.1 Exclusions

To the fullest extent permitted by law, Technique excludes all warranties and conditions except those expressly stated in the Service Agreement.

9.2 Liability Cap

Technique's total liability shall not exceed the fees paid by the client in the 12 months preceding the claim.

9.3 Indirect Losses

Technique is not liable for indirect, consequential, or special damages including loss of profits or business opportunities.

10. Website Use

10.1 Acceptable Use

You may use our website for lawful purposes only. You must not:

  • Attempt to gain unauthorised access

  • Transmit malicious code

  • Use automated systems to scrape content

  • Impersonate Technique or misrepresent your relationship with us

10.2 Third-Party Links

Our website may contain links to third-party sites. We are not responsible for the content or practices of external sites.

11. Data Protection

Your personal data is processed in accordance with our Privacy Policy (below) and EU GDPR requirements.

12. Changes to Terms

We reserve the right to update these Terms at any time. Changes take effect when posted on our website. Continued use of our services constitutes acceptance of updated Terms.

13. Governing Law

These Terms are governed by the laws of Malta. Any disputes shall be subject to the exclusive jurisdiction of the courts of Malta.
